Terms of service
Effective Date: September 4, 2026
These Terms of Service ("Terms") govern your access to and use of STOQ (https://apps.shopify.com/back-in-stock-restock-alerts), a preorder and back-in-stock notification platform provided by Artos Software Inc., a Delaware corporation with its principal place of business at 1111B S Governors Ave STE 3617, Dover, DE 19904, USA ("Stoq," "we," "us," or "our"). STOQ is distributed exclusively through the Shopify App Store and installs directly into your Shopify store.
By installing, accessing, or using STOQ, you ("Merchant," "you," or "your") agree to be bound by these Terms and our Privacy Policy and Data Processing Agreement, each of which is incorporated by reference. If you do not agree, do not install or use STOQ.
1. The Service
STOQ helps e-commerce merchants recover lost sales from stockouts. The Service has two core capabilities:
- Preorders — letting you sell out-of-stock or upcoming products before they're back in inventory.
- Back-in-stock notifications — sending email and SMS notifications to shoppers when a product they requested becomes available again.
We may update, improve, or change features of the Service over time. We'll make reasonable efforts to notify you of material changes that affect your use of the Service.
2. Eligibility & Your Account
You must have a Shopify store and a valid Shopify account to use STOQ. STOQ authenticates and connects to your store through Shopify's own account and permission system — we do not separately manage a username or password for you. You're responsible for the accuracy of the store information connected to STOQ and for all activity that occurs through your connected account.
You must be at least 18 years old, or the age of majority in your jurisdiction, to use STOQ.
3. Relationship to Shopify
STOQ is a third-party application distributed through the Shopify App Store and is not owned or operated by Shopify. Your use of Shopify's platform is governed separately by Shopify's own merchant and API terms. Stoq is not responsible for the availability, performance, or policies of the Shopify platform itself, including outages or changes to Shopify's APIs that affect STOQ's functionality.
4. Fees & Billing
4.1 Plans. STOQ offers a free plan and paid subscription plans, as described on our pricing page. Paid plans include a 14-day free trial, starting from your first upgrade to a paid plan.
4.2 Usage-based fees. Depending on your plan and how you use STOQ, you may also be charged usage-based fees — for example, per-order fees for preorders processed beyond your plan's included volume, fees for SMS notifications sent beyond your plan's included volume, and fees associated with provisioning a dedicated toll-free SMS number. This list is illustrative, not exhaustive — current usage-based fees and rates are shown on your pricing page and in your Shopify billing.
Where a usage-based fee requires your explicit opt-in before it applies (for example, SMS notifications sent beyond your plan's included volume), we will not send the associated notifications or bill you unless you've opted in and completed any required verification step. If you don't opt in, we simply stop once your plan's included volume is used up — you won't be charged for overage you didn't authorize.
4.3 Billing mechanism. All fees — subscription and usage-based — are billed and collected through Shopify's own billing system, as a charge against your Shopify account. Stoq does not separately collect payment information from you; Shopify handles all payment processing. Billing is monthly; we do not currently offer annual billing.
4.4 Failed or declined charges. If a charge is declined or fails through Shopify's billing system, the associated plan change or usage charge will not take effect. If usage-based charges (e.g., SMS overage) fail because you've reached your spending cap with Shopify, we will automatically pause the affected feature until the issue is resolved or you increase your cap.
5. Term, Cancellation & Termination
5.1 Cancellation by you. You may cancel your paid plan or uninstall STOQ at any time from your Shopify admin. Cancellation takes effect immediately; we do not provide refunds or credits for the remainder of a billing period already paid.
5.2 Effect of cancellation/uninstall. Once you cancel or uninstall, your account reverts to the free plan (if you remain installed) or, if you uninstall entirely, your access to the Service ends and your data is handled as described in our Privacy Policy.
5.3 Termination by us. We may suspend or terminate your access to STOQ if you materially breach these Terms, misuse the Service, or if required to do so by Shopify or applicable law. Where practical, we'll provide notice and an opportunity to cure before termination.
5.4 If we discontinue the Service. If we discontinue STOQ entirely (rather than terminating your individual access), we'll provide reasonable advance notice where possible, and will not charge for usage after the Service becomes unavailable to you. We do not provide refunds for fees already paid for the then-current billing period.
6. Your Data & Privacy
Our collection, use, and handling of personal information is described in our Privacy Policy. If we process personal information on your behalf as part of providing the Service, that processing is additionally governed by our Data Processing Agreement.
7. Intellectual Property
7.1 Our IP. STOQ, including its software, design, features, and functionality, is owned by Stoq and protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use STOQ for your business's own use during the term of your subscription.
7.2 Your data. You retain all rights to your store data, product catalog, and customer information. We claim no ownership over your content or data — we process it solely to provide the Service, as described in our Privacy Policy and DPA.
8. Acceptable Use
You agree not to: use STOQ for any unlawful purpose; attempt to reverse-engineer, decompile, or gain unauthorized access to STOQ's underlying systems; interfere with or disrupt the Service; or use STOQ to send communications that violate applicable law (including SMS/email marketing laws such as TCPA, CAN-SPAM, or CASL).
9. Warranties & Disclaimer
STOQ is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee that the Service will be uninterrupted, error-free, or available at all times.
10. Limitation of Liability
To the maximum extent permitted by law, Stoq will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to these Terms or your use of the Service.
Stoq's aggregate liability arising out of or relating to these Terms will not exceed the total fees paid by you to Stoq for the Service in the 6 months preceding the event giving rise to the claim, excluding any pass-through costs (such as SMS carrier fees) collected on behalf of, and remitted to, third-party providers.
11. Indemnification
By you: You will indemnify and hold Stoq harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of applicable law.
By us: We will indemnify and hold you harmless from any claims that STOQ, as provided by us, infringes a third party's intellectual property rights, except to the extent the claim arises from your modification of the Service, your data, or your violation of these Terms.
12. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we'll provide reasonable notice (e.g., via email or in-app notice) before they take effect. Your continued use of STOQ after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware and the laws of the United States of America applicable therein, without regard to conflict of law principles. You and Stoq irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the State of Delaware for any dispute arising out of or in connection with these Terms.
14. General
Entire agreement: These Terms, together with our Privacy Policy and DPA, constitute the entire agreement between you and Stoq regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
No waiver: Our failure to enforce any provision isn't a waiver of our right to do so later.
Force majeure: Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, labor disputes, internet or utility failures, or the unavailability of Shopify's or our infrastructure providers' platforms.
Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.
